1.0 Introduction & Agreement to Terms

Welcome to HWB Cleaning Services LLC ("Company," "we," "our," or "us"), a Texas commercial cleaning and custodial firm headquartered in McKinney, Texas. These Terms of Service ("Terms") constitute a legally binding agreement between you—whether individually or on behalf of an enterprise, facility, school, healthcare center, or business entity ("Client," "User," or "you")—and HWB Cleaning Services LLC.

By browsing our website, requesting a commercial proposal, utilizing our online square-footage calculator, or accessing any affiliated portal, you confirm that you have read, understood, and agreed to be bound by all of these Terms and our companion Privacy Policy. If you do not agree with all of these Terms, you must immediately discontinue using our website and services.

2.0 Commercial Services & Engagements

HWB Cleaning Services LLC delivers specialized B2B custodial, commercial janitorial, industrial facility maintenance, post-construction cleanup, and hard-floor care (strip, seal, and wax) throughout North Texas and across the State of Texas.

All recurring client service arrangements require a signed, written Master Services Agreement ("MSA") or specific Scope of Work ("SOW"). In the event of any conflict between these website Terms of Service and an executed client Master Services Agreement, the terms of the executed Master Services Agreement shall prevail.

3.0 Proposal Calculators & Estimation Heuristic Disclaimer

IMPORTANT NOTICE REGARDING ONLINE PRICING ESTIMATES (SOC 2 PROCESSING INTEGRITY COMPLIANCE):

Any interactive pricing calculator, square footage cost estimator, or automated proposal generator made available on this website is provided solely as an initial planning heuristic for informational and budgeting estimation.

• Non-Binding Heuristics: Calculations produced by website tools do not constitute a formal, binding contract, price guarantee, or irrevocable offer by the Company.
• Physical Walkthrough Required: Actual pricing depends upon empirical physical site inspection, exact floor substrate condition, facility security requirements, chemical handling specifications, frequency of service, and access hours.
• Final Scope of Work: Firm pricing is established only upon the delivery of a written, formalized proposal accompanied by an authorized signature from an officer of HWB Cleaning Services LLC.

4.0 Facility Access, Security & Utilities

For all contracted cleaning engagements, the Client agrees to provide:

• Unimpeded Physical Access: Safe and unobstructed access to the designated facility during scheduled service hours, including necessary keys, access badges, alarm codes, or security check-in protocols.
• Operational Utilities: Continuous access to hot and cold running water, electricity, adequate lighting, and designated janitorial storage space for approved equipment and chemicals.
• Hazardous Materials Disclosure: Timely prior written notice of any biohazards, chemical spills, friable asbestos, mold, or hazardous site conditions governed by OSHA standards. Our technicians are trained under strict Safety Data Sheet (SDS) procedures and are prohibited from servicing undisclosed hazardous environments.

5.0 Payment Terms & Invoicing

Unless otherwise specified in a signed service agreement, commercial janitorial services are billed monthly in advance or net 15 days following service performance. One-time specialty services (including construction final cleans and floor restoration) may require a mobilization deposit prior to commencement.

Late payments accrue interest at the rate of 1.5% per month (or the maximum legal rate permitted under Texas law, whichever is lower) starting 30 days past due date, plus all reasonable collection and legal costs incurred.

6.0 Quality Guarantee & Correction Protocol

Under the SigmaQuality™ Standard, our objective is 100% execution accuracy. If any aspect of a scheduled clean fails to meet the agreed-upon Scope of Work, the Client must notify our Operations Desk within twenty-four (24) hours of the service completion.

Upon timely receipt of notice, our operations supervisor will inspect the facility and dispatch a remediation crew to re-clean the deficient area at no additional cost within 24 hours. This remedy represents the Client's sole and exclusive remedy for service quality discrepancies.

7.0 Intellectual Property & Trademarks

The website, including its underlying code, database schemas, responsive engines, text, photography, graphic designs, algorithms, and registered trademarks—including SigmaFidelity™, SigmaQuality™, and the HWB crest logo—are the exclusive intellectual property of HWB Cleaning Services LLC and are protected by United States copyright, trademark, and trade secret laws.

You may not copy, reverse-engineer, scrape, mirror, or harvest any proprietary estimating logic, text, or brand assets without express written permission from Humberto Dominguez, Chief Executive Officer.

8.0 Limitation of Liability & Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, HWB CLEANING SERVICES LLC, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, ONLINE CALCULATORS, OR UNAVAILABILITY OF SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF CONTRACT, TORT, OR STATUTE EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO HWB CLEANING SERVICES LLC DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9.0 Governing Law & Mandatory Collin County Venue

These Terms of Service and any disputes arising out of or related to our commercial engagements shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict of law principles.

The parties explicitly agree that any legal suit, action, or proceeding arising out of or related to these Terms or our services must be instituted exclusively in the state or federal courts located in Collin County, Texas. Both parties submit to the exclusive personal jurisdiction of such courts and waive any objection based on improper venue or inconvenient forum.
